Terms of Service

Welcome to the “Telco AI & 5G Intelligence Hub” (the “Service”). These Terms of Service (“Terms”) are a legally binding agreement between you and xWave Research Ltd, registered at 71-75 Shelton Street, London, England, WC2H 9JQ, UK (“we”, “us”, or “our”). By accessing or using the Service, purchasing any dataset, subscription, or license, you agree to be bound by these Terms.

If you do not agree, do not use or purchase the Service.

1. Definitions

- “Customer”, “you”, “your”**: The individual or entity purchasing or accessing the Service.

- “Service”: Our website, client portal, and deliverables including datasets, insight reports, documentation, and support.

- “Deliverables”: Our proprietary datasets (Excel), insight reports (PDF), data dictionaries, taxonomy notes, and update notices.

- “Subscription”: The annual plan providing access to bi-annual updates, backfiles, and annual webinar.

- “Single Edition”: A one‑time release (no updates) of a dataset/report (including historical data).

- “License”: The usage rights granted (Single‑User, Unlimited Team).

- “Authorized Users”: Named individuals permitted to use the Deliverables under the purchased License.

2. The Service & Scope

We provide independent trackers covering global telco AI and 5G services, including granular detail on commercial launches, ecosystem partnerships, monetization models, geographic reach, customer segments, and strategic approaches. Subscriptions typically include **2 updates per year** and historical backfile access.

We may enhance or modify the Service, taxonomy, fields, cadence, or delivery methods (e.g., secure portal, encrypted download, or email) to improve quality and reliability.

3. Ordering, Pricing & Payment

3.1 Plans & Pricing

Pricing (excluding discounts) is listed on our website and/or your order form:

- Single Edition, Single‑User: USD $2,750

- Single Edition, Team Unlimited (Unlimited seats within your legal entity; redistribution prohibited): USD $4,125

- Annual Subscription (2 updates/year), Single‑User: USD $5,000/year

- Annual Subscription (2 updates/year), Team Unlimited (Unlimited seats within your legal entity; redistribution prohibited): USD $7,495/year

- Bundle Discount (AI + 5G): Save 25% for purchases on the same license level (limited time offer): Single Edition, Single‑User: USD $4,750

- Bundle Discount (AI + 5G): Save 25% for purchases on the same license level (limited time offer): Single Edition, Team Unlimited: USD $6,950

3.2 Taxes & VAT

Prices are exclusive of VAT/GST, sales taxes, withholding, or similar levies. You are responsible for applicable taxes, duties, and bank charges.

3.3 Payment Terms

Unless otherwise stated, invoices are due net 15 days from invoice date. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law. We may suspend access for past‑due amounts.

3.4 Currency

All amounts are payable in USD, unless an Order Form specifies another currency.

4. Delivery & Access

We deliver the Deliverables via a secure client portal, encrypted link, or email (as agreed). Subscriptions include access to the latest release plus historical backfile for the subscription period. You are responsible for maintaining secure credentials and preventing unauthorized access.

5. Licenses & Usage Rules

5.1 License Grant

Subject to payment and compliance with these Terms, we grant you a non‑exclusive, non‑transferable, revocable license to use the Deliverables internally at the license level purchased:

- Single‑User License: One named user. Internal use only. No sharing beyond the license holder.

- Team License: Up to 10 named users in the same organization. Internal sharing among Authorized Users only.

- Site/Enterprise License: Organization‑wide internal use for employees and contractors under your control. No external redistribution.

5.2 Permitted Use

- Internal analysis, strategy, planning, and presentations.

- Incorporation of limited excerpts, derived charts, or non‑downloadable views into internal materials with clear attribution:

5.3 Restrictions

You must not:

- Redistribute, resell, sublicense, or publish Deliverables outside your organization without our written permission.

- Upload Deliverables to any publicly accessible repository or external collaboration platform.

- Use Deliverables to create a competing database, product, or service.

- Remove or obscure copyright notices or attribution.

- Use Deliverables for any unlawful purpose, including infringement or violation of third‑party rights.

5.4 Audit & Remediation

We may request reasonable evidence of compliance (e.g., a list of Authorized Users). If non‑compliance is identified, you agree to promptly remediate (e.g., purchase appropriate licenses or cease unauthorized use).

6. Subscriptions, Renewals & Cancellations

6.1 Term

Subscriptions run for 12 months from the Effective Date stated in your order.

6.2 Renewal

Subscriptions auto‑renew for subsequent 12‑month terms unless either party gives written notice at least 30 days before the renewal date.

Clause 6.3 – Cancellation & Refunds:

All purchases are non‑cancelable and non‑refundable once Deliverables or access are provided, except where required by law or expressly stated in an Order Form.

6.4 Upgrades

You may upgrade from Single Edition to Annual, or from Single‑User to Team/Site, with fees prorated at our discretion. Downgrades take effect the next renewal.

8. Data Protection & Privacy

We process limited business contact data to fulfill orders, provide access, and support. See our Privacy Policy for details on personal data, lawful bases, retention, and rights. You agree to comply with applicable data protection laws (e.g., UK GDPR).

9. Intellectual Property

All Deliverables, data, reports, documentation, schemas, taxonomies, and the Service are the exclusive property of xWave Research Ltd. and/or its licensors. No ownership is transferred. You receive only the license rights expressly granted.

We may reuse, improve, and aggregate insights and learnings in anonymous form to refine the Service.

10. Publicity

We may reference your company name and logo in a client list or case study only with your prior written consent. You may reference our brand in internal documents with proper attribution.

11. Warranties & Disclaimers

11.1 Warranties

We warrant we have the right to provide the Service and grant the licenses described.

11.2 Disclaimers

The Service and Deliverables are provided on an “as is” and “as available” basis. We do not warrant that the Deliverables will meet your requirements, be error‑free, or produce any specific financial or strategic outcome. Telecom markets evolve; we rely on sources believed to be reliable but cannot guarantee completeness, timeliness, or accuracy in all cases.

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement.

12. Limitation of Liability

To the fullest extent permitted by law:

- Indirect Damages: We are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, revenue, business, data, or goodwill.

- Cap: Our total liability arising out of or related to the Service shall not exceed the amounts you actually paid to us in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be limited.

13. Acceptable Use

You agree not to use the Service to:

- Violate any applicable laws or regulations.

- Infringe intellectual property or privacy rights.

- Introduce malware, disrupt systems, or attempt unauthorized access.

- Engage in scraping or automated extraction beyond reasonable usage needed to access the Deliverables for internal analysis.

We may suspend access for suspected violations.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, war, government actions, strikes, utility or network outages, supplier failures, hosting incidents).

15. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on the website and/or notified via email. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.

16. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by English law. The parties submit to the exclusive jurisdiction of the courts of England and Wales.

17. Export Controls & Sanctions

You represent and warrant that you are not located in, and will not use or access the Service from, any country or region subject to comprehensive trade sanctions, and that you are not listed on any applicable sanctions list. You agree to comply with all applicable export control laws and sanctions.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms (including in connection with a merger, acquisition, or asset sale).

19. Entire Agreement & Severability

These Terms and any Order Form constitute the entire agreement between the parties and supersede prior agreements relating to the Service. If any provision is held invalid, the remainder will continue in full force, and the invalid provision will be replaced with a valid one that most closely reflects the original intent.
